In your best interests.
Our commercial and governmental finance team has deep experience both as in-house and outside counsel. We routinely work on behalf of parties involved in a large governmental entity borrowing, as well as business owners and developers seeking, comparing, and negotiating financing options.

Our team focuses on providing commercial lender representation, assisting with subsidized housing/HUD programs, and serving as bond counsel on bond deals including representing borrowers, lenders, and issuers. Because we know the law well, we’re able to get deals done particularly efficiently and cost-effectively.
Collectively, we have decades of experience representing banks, life insurance companies, and private lenders on secured and unsecured facilities. One of our practice group members even co-wrote The ME Commercial Lending Handbook. Because of our team’s experience with deals of all sizes, we’re able to tailor efforts well to any type of loan.
No transaction is too large or complicated for our team. We recently provided lender representation in a $40mm portfolio loan—coordinating all diligence (including lease review) and opinions, and negotiating the intercreditor agreement with a participating lender.
We represent borrowers on projects nationally and have more than 25 years of experience working with these programs.
We act as bond counsel and represent borrowers, lenders, and issuers in 501(c)(3) and other private activity bond transactions including “bank-qualified” transactions. Our deep municipal practice complements our commercial group’s expertise.
We primarily act as bond counsel on municipal deals, and can undertake very complex deals while remaining efficient and cost-effective. Locally, we’ve recently acted as counsel to the Friends School of Portland on various loans relating to the financing of a new school, including multiple subordinate loans and a $2.16 million tax-exempt bond using the Finance Authority of ME as a conduit issuer. We have also acted as lead counsel in numerous “small issue” private activity bond financings and closed some of ME’s only “recovery zone facility bond” financings before the sunset of the federal authorizing legislation.
